This Agreement contains the complete terms and conditions that apply to your participation as an ambassador with the AmiLean Ambassador Program and the promotion and sale of AmiLean products.
As used in this Agreement, “we,” “us” or “AmiLean” means Ideal Marketing Concepts, and “you,” “your” or “Ambassador,” means the ambassador. “Ambassador Program” means the program managed by or on behalf of AmiLean by which participating entities promote and sell product and if possible place links on their Website that connect to the AmiLean website so click through analytical data can be compiled.
Term and Termination
The term of this Agreement (the “Term”) will begin upon our acceptance of your site in the AmiLean Ambassador Program and your acceptance of this Agreement and will end when terminated as described herein. Either you or we may terminate this Agreement at any time, with or without cause by giving written notice to either party. You are only eligible to earn commissions on sales occurring during the Term, and commissions earned through the date of termination will remain payable only if the product orders are not canceled. AmiLean may withhold final payment for a reasonable time to ensure against cancellations.
Promotion
AmiLean will make available to you product for promotion, a personally coded promotional code and promotional badges/banners for your website. You will post to your online social media account at least three times per month, each post will contain an image of the product and specific hashtags #AmiLean and #TeamAmiLean. You will agree to follow one or more of AmiLean’s social media profiles. You will allow AmiLean the right to repost to our own profile any of your posts on social media so long as AmiLean agrees not to change the original text or promo codes of your post.
Promotional Product
When approved as an AmiLean Ambassador you will receive 1 free bottle of AmiLean lotion. To continue to qualify for 1 free bottle monthly you must have a minimum of 2 orders per month under your promo code. When you make 6 or more sales per calendar month you will qualify for 2 free bottles. You may use your assigned promo code when purchasing personal product for the 40% discount as often as you wish.
Discount & Commission
Your promo code will offer your followers/customers 40% off the product price purchased on AmiLean.com. Ambassadors will receive a 20% commission for each sale of an AmiLean product. Commission is for product sale price only and does not include shipping and handling or sales tax.
Commission Schedule
Commissions will be paid within 30 days from the ending of each commission period (each period is one month).
Online Reports
You will have access through your ambassador login to all sales and commission reporting via AmiLean’s online Ambassador portal at any time for the life of your term.
Fulfillment and Policy
AmiLean is solely responsible for fulfilling all orders for its products and payment processing, and customers who buy products through the Ambassador Program will be deemed customers of AmiLean. Accordingly, all rules, policies, operating procedures and information concerning customer orders and sales will apply to those customers, including our rules of privacy and confidentiality. We may change our policies and operating procedures at any time, without notice.
General Provisions
You and we are entering this Agreement as independent contractors, and nothing will be construed to create a partnership, agency, joint venture or employment relationship between you and us.
In its performance of this Agreement and in the operation of each party’s respective Websites, you and we each will comply with all applicable laws, regulations, orders and other requirements, now or hereafter in effect, of governmental authorities having jurisdiction. Without limiting the generality of the foregoing, you and we each will pay, collect and remit such taxes as may be imposed with respect to any compensation, royalties or transactions under this Agreement.
Neither you or we will be considered to be in breach of or default under this Agreement on account of any delay or failure to perform as a result of any causes or conditions that are beyond our respective reasonable control. If any force majeure event occurs, the affected party will give prompt written notice to the other and will use commercially reasonable efforts to minimize the impact of the event.
